Summary:
The Mutual Non-Disclosure Agreement (NDA) requires each of the parties to agree that it will not, directly or indirectly, make use of, disseminate, or in any way disclose any Confidential Information of the other party to any third parties except for the purpose of evaluating a possible business relationship between HTC and County, or as may otherwise be authorized by the Discloser.
The NDA will allow the County to obtain financial information required in order to perform due diligence review. Obligations under the NDA shall continue for a period of three (3) years through May 9, 2021.
Background/Explanation:
On March 21, 2017, the Board of County Commissioners awarded the contract Information Technology (IT) staff augmentation services and project-based IT staff services to thirteen firms.
One of the awarded firms, Ciber Inc was later acquired by Ciber Global LLC (an entity completely unrelated to Ciber, Inc, despite the name). In order to process a name change, the new company must provide due diligence, including financial information.
Ciber Global, LLC is a subsidiary of HTC. As the parent company, HTC requires all of its subsidiaries and affiliates to have an NDA in place before releasing any financial information to customers.
Execution of the NDA, by the County Administrator, is requested by the Business Technology Services Chief Information Officer.
