Summary:
Approval of this request will acknowledge the assignment of contracts from Telvent USA, LLC (Telvent) to Kapsch TrafficCom Transportation NA, Inc. (Kapsch).
On October 1, 2015, Telvent entered into an asset transfer agreement with Schneider Electric Mobility NA, Inc. (Schneider) for its transportation business. Schneider’s Transportation Business was acquired on April 4, 2016 by Kapsch, which included the services provided under these contracts. Kapsch has agreed to assume all obligations and liabilities under the contract by virtue of the assignment. All other pricing, terms and conditions remain the same as awarded.
Background/Explanation:
On July 7, 2014, Contract No. 134-0368-SS was awarded for maintenance and support of the Smart Tracs advanced traffic management system and advanced traveler information system software.
On March 27, 2012, Contract No. 101-0464-CN was awarded for traffic engineering consultant services for advanced traffic management system-intelligent transportation system.
Fiscal Impact:
Ample funds exist for these amendments; the addition of funds is not required.
Contract No. 134-0368-SS original amount approved: $523,472. Funding is derived from Public Works Infrastructure’s Intelligence Transportation System (ITS) Operating and Capital Improvement Program PID 000106A Budgets.
Contract No. 101-0464-CN original amount approved: $ 3,155,000. Funding is derived from the County Transportation Trust Fund Ninth Cent Gas (Fuel) Tax.

Authority for the County Administrator to acknowledge this assignment and execute the amendments is granted under Code Section 2-62 (a)(2).
