Approval and execution by the County Administrator of Amendments to the Agreements pertaining to a corporate name change from Kapsch TrafficCom Transportation NA Inc. to Kapsch TrafficCom USA, Inc. for two (2) contracts pertaining to professional software consultant services.

Contract No. 134-0368-SS (RO) Second Amendment effective through July 4, 2019.
Contract No. 167-0005-CN (RW) First Amendment effective through June 19, 2022.

Summary:

These Amendments acknowledge a corporate name change for Kapsch TrafficCom Transportation NA, Inc. to Kapsch TrafficCom USA, Inc. Kapsch TrafficCom Transportation NA, Inc; the name change is effective October 1, 2017. The change was administrative and does not affect or change the corporate structure or legal standing of the company; all pricing, terms and conditions of the Agreements will remain as awarded. This acknowledgement is necessary to provide an accurate audit trail for future purchases and to avoid payment delays.

 

Background/Explanation:

The County Administrator awarded Contract No. 134-0368-SS for maintenance and support of the Smart Tracs advanced traffic management system and advanced traveler information system software on July 7, 2014. On January 19, 2017, the County Administrator approved the assignment of contracts from Telvent USA, LLC to Kapsch TrafficCom Transportation NA, Inc. The first and second term extensions were approved on June 18, 2017 and July 24, 2018, respectively.

On June 20, 2017, the Board of County Commissioners awarded Contract No. 167-0005-CN for traffic engineering consultant services for the Advanced Traffic Management System Intelligent Transportation System.

 

 

 

Fiscal Impact:

There is no fiscal impact associated with this acknowledgement. 

 

Contract No. 134-0368-SS original three (3) year amount approved: $523,472.00.

 

Funding is derived from the Department of Public Works Infrastructure’s Intelligence Transportation System (ITS) Operating and Capital Improvement Program PID 000106A budgets.

 

Contract No. 167-0005-CN original amount approved: $5,000,000.00 per firm for a five (5) year total of $25,000,000.00.

 

Funding is derived from various Capital Improvement Program budgets and/or operating budgets.

 

Delegated Authority:

Authority for the County Administrator to approve and execute these Amendments is granted under Code Section 2-62 (a)(2).
