Approval and execution by the County Administrator of the Second Amendment to acknowledge a corporate name change from Metzger + Willard, Inc. to V & A Consulting Engineers, Inc. d/b/a Metzger + Willard, Inc. a V & A Consulting Engineers Company for Construction Engineering Inspection (CEI) Consulting Services.
• This contract provides for (CEI) consulting services on a continuing basis to assist with the implementation of the Capital Improvement Program.
• The Second Amendment acknowledges a corporate name change from Metzger + Willard, Inc. to V & A Consulting Engineers, Inc. d/b/a Metzger + Willard, Inc. a V & A Consulting Engineers Company for invoicing purposes.
• This contract was originally awarded by the Board of County Commissioners (BCC) on June 20, 2017, in the amount of $6,000,000.00; a First Amendment extending the contract to March 20, 2023, with no additional funding was approved by the Purchasing Director on March 18, 2022.
• All terms and conditions as awarded by the BCC remain in force.
Contract No. 167-0010-CN(PLU) through March 20, 2023. There is no fiscal impact associated with this corporate name change.

Summary:
The purpose of the amendment is to change the corporate name from Metzger + Willard, Inc. to V & A Consulting Engineers, Inc. dba Metzger + Willard, Inc. a V & A Consulting Engineers Company.
Background/Explanation:
This contract was originally awarded by the Board of County Commissioners on June 20, 2017, in the amount of $6,000,000.00. The First Amendment to extend the contract with no additional funding to March 20, 2023, was approved by the Purchasing Director on March 18, 2022.
On June 16, 2022, the representative for Metzger + Willard, Inc. notified the Purchasing Division that they would be joining forces with yielding a name change to Metzger + Willard, Inc. a V & A Consulting Engineers Company. Future invoices will transition to Metzger + Willard, Inc. a V & A Consulting Engineers Company. Second Amendment is required to ensure prompt payment of invoices.

There is no fiscal impact associated with this acknowledgement.
Approved contract expenditure: $6,000,000.00
Funding is derived from various Capital Improvement Program budgets and/or operating budgets per individual work assignments on a multiple year/multiple work assignment basis.
Delegated Authority:
Authority for the County Administrator to sign and execute this Second Amendment is granted under Code Section 2-62 (a)(2).
