Approval and execution by the County Administrator of the First Amendment to the Agreement acknowledging the corporate restructuring of Azteca System, Inc. to Azteca System, LLC, for requirements of Cityworks software licenses and maintenance and support services.

 

                     This contract provides Cityworks software licenses, maintenance and support services for the County’s Enterprise Asset Management Solution (EAM).

                     Azteca System, LLC is the manufacturer and sole provider of the software.

                     This Amendment recognizes the corporate restructuring of Azteca System, Inc. to Azteca System, LLC; Azteca System, LLC expressly assumes all rights and performance obligations under the Agreement.

                     The Board awarded this contract in the amount of $1,040,000.00 on June 21, 2016.

 

Contract No. 156-0399-A(JJ); in the contract amount of $1,040,000.00 effective through June 30, 2021. This Amendment has no fiscal impact as it pertains to the contract.

Summary:

This corporate restructuring re-assigns the Software License Agreement (SLA) to Azteca System, LLC, transferring all rights and performance obligations under the Agreement. Previous ownership maintains majority ownership of Azteca System, LLC.

 

Background/Explanation:

This contract was originally approved by the Board of County Commissioners on June 21, 2016 and provides the County with Cityworks licenses, maintenance and support services.

The County is in the final year of the SLA and is pursuing negotiations for continuation of Cityworks licenses, maintenance and support services with Azteca System, LLC, the manufacturer and sole provider of the software.

 

Fiscal Impact:

This amendment has no fiscal impact.

 

Estimated expenditure not to exceed:  $1,040,000.00

 

Delegated Authority:

Authority for the County Administrator to acknowledge this corporate restructuring is granted under Code Section 2-62 (a)(2).
