Approval by the Board of the Interagency Agreement with Big Brothers Big Sisters of Tampa Bay, Inc., Boys & Girls Clubs of the Suncoast, Inc., Special Olympics Florida, Inc. (collectively referred to as the Clubs), and Metropolitan Systems, Inc. for the Installation and Maintenance of Public Seating Services/Bus Benches.

It is further recommended the Chair be authorized to execute and the Clerk to attest the agreement.

Summary:

This agreement allows for the installation and maintenance of public bus benches within authorized right-of-way areas of the County, including displayed advertising on designated structures.  The Clubs benefit from revenue generation from advertising, and the public benefits from bus benches with no cost to the County.  This provides the opportunity for the Clubs to advertise on the benches in order to raise funds in support of their youth services programs.

This is an update to the existing agreement providing for current County contract and insurance language, updated participants and clarification of contractual responsibilities.  Updates to the agreement include removing the Oldsmar Junior Chamber of Commerce, Inc. (Jaycess), who are no longer in existence, and therefore not an active participant to the agreement, requiring the Clubs and the Service Provider to meet updated County insurance requirements, and ensuring the Clubs and Service Provider are compliant with current requirements pertaining to the Americans with Disabilities Act (ADA).  The agreement adds Special Olympics Florida, Inc. as a participating Club, and Metropolitan Systems, Inc. (MSI) as the Service Provider. 

The term of the agreement is ten (10) years, which is equal to the remaining term of the existing agreement.  This agreement supersedes and replaces the current agreement upon execution by all parties.

 

 

 

Background Information:

In 2004, the County entered into an interagency agreement with three charities: the Oldsmar Junior Chamber of Commerce, Inc. (Jaycees), Boys and Girls Club of Pinellas, Inc., and Big Brothers/Big Sisters of Pinellas, Inc. (collectively referred to as the original Clubs).  Once the agreement was in place, the original Clubs contracted with MSI as their Service Provider to perform the installation, maintenance, and advertising functions.  However, MSI was not, nor was required to be a party to the agreement.  The original agreement did not require the Clubs to conduct a competitive process to select a Service Provider and only written approval to add additional charities.

During recent agreement negotiations, the Clubs stated MSI would remain as the Service Provider, the agreement term be equal to the remaining term of the existing agreement, and provide the flexibility to add charities in a non-competitive process.  In exchange, the Service Provider is now a party to the agreement, the Clubs and the Service Provider are to meet updated insurance requirements, and all benches shall be ADA compliant where the County Office of Human Rights has the authority to render final compliance decisions.

 

Fiscal Impact:

The public seating service is without cost to the County.  However, in order to fund such a service, the County agrees to grant the Clubs and the Service Provider the right to lease display space on these designated benches for both public service and commercial messages.
